Terms of Service
These terms govern your use of the Citadelle Advisory Group website, the iTenders product, and any consulting engagement with Citadelle Advisory Group, LLC.

1. Acceptance
These Terms of Service (“Terms”) form a binding agreement between you and Citadelle Advisory Group, LLC (“Citadelle,” “we”). By accessing the website at www.citadelleadvisorygroup.com, signing up for the iTenders product, or signing an engagement letter with us, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the service.
2. The service
The service includes (a) the marketing website; (b) the iTenders procurement-intelligence application, a software-as-a-service product; and (c) advisory and consulting work performed under a separate signed scope of work or master services agreement (“SOW”). Where an SOW is in place, the SOW governs the engagement and prevails over any conflicting term in this document for that engagement only.
3. Eligibility & accounts
iTenders is for business use by entities organized in the United States, the Caribbean, South Africa, or Eswatini, or by firms targeting procurement opportunities in those markets. You must be at least 18 years old and authorized to bind your organization. You agree to keep your account credentials confidential and to notify us immediately if you suspect unauthorized use. The organization administrator on an iTenders account is responsible for the conduct of users added to that account.
4. Subscription, trial, and billing
4.1 Trial
iTenders offers a 7-day trial for a one-time $9.99 activation fee, charged at signup. A valid credit card is required. After the trial, your selected plan begins billing automatically until you cancel. We may extend or change trial terms from time to time.
4.2 Plans and fees
Current plan tiers (Starter / Pro / Agency) and prices are published at /itenders-info. Subscriptions auto-renew monthly. We may change pricing on at least 30 days’ notice; price changes take effect at the next renewal.
4.3 Payment
Payments are processed by Stripe. By submitting payment details, you authorize us, through Stripe, to charge the recurring fee until you cancel. Failed payments may result in suspension of access.
4.4 Cancellation and refunds
You can cancel at any time from inside the iTenders billing settings or through the Stripe customer portal. Cancellation takes effect at the end of the current paid period. Except where required by law, fees already paid are non-refundable.
4.5 Taxes
Prices do not include sales tax, VAT, or similar levies. You are responsible for all such taxes other than taxes on Citadelle’s net income.
5. Seats and organization billing
Each plan includes a fixed number of user seats. The organization administrator can add members up to the seat cap. Member seats are paid for by the organization; individual members do not have separate subscriptions and will not be charged by Stripe for using the seat granted to them by their organization.
6. Acceptable use
You agree not to:
- Reverse-engineer, decompile, scrape, or attempt to extract source code from the service.
- Resell, rent, or sublicense the service to a third party without our written consent.
- Use the service to violate any law, infringe intellectual property rights, or distribute malware.
- Upload content that you do not have the right to share, including documents under a confidentiality obligation that does not permit AI processing.
- Interfere with the integrity or performance of the service, or attempt to gain unauthorized access to other accounts.
- Use the service in connection with any sanctioned party or in any sanctioned jurisdiction in violation of applicable export control laws.
7. AI-generated output
iTenders uses third-party large language models (currently Anthropic’s Claude) to produce fit scores, proposal skeletons, requirement extractions, and translations. AI output can be inaccurate, incomplete, or out of date. You are responsible for reviewing every AI-generated output before relying on it. We make no representation that AI-generated proposal drafts will win the underlying tender, comply with the procuring authority’s rules, or be free of errors.
8. Customer content and ownership
You retain all rights in the documents and information you upload to iTenders (“Customer Content”). You grant Citadelle a limited license to process Customer Content solely to provide the service to you — including transmitting relevant excerpts to the model provider listed in our Privacy Policy. We do not authorize the model provider to use Customer Content for training.
Citadelle owns the service itself, including the iTenders software, the platform, the brand, and any aggregated, anonymized usage statistics. Suggestions or feedback you provide are licensed to us without obligation.
9. Consulting engagements
Consulting work is delivered under a separate signed SOW that specifies scope, deliverables, fees, payment terms, intellectual property, and confidentiality. Nothing on the website is a binding offer to perform consulting services. Calls and emails about a possible engagement are exploratory only.
10. Confidentiality
Information shared between you and Citadelle in the course of an engagement or product use that is reasonably understood to be confidential will be kept confidential and used only to deliver the service or engagement. This obligation survives termination.
11. Disclaimers
The website and iTenders are provided “as is” and “as available.” To the maximum extent permitted by law, Citadelle disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the service will be uninterrupted or error-free, that tender data will be complete, or that AI outputs will be accurate.
12. Limitation of liability
To the maximum extent permitted by law, Citadelle and its officers, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or business opportunities (including any tender lost or not won), arising from or related to the service. Our total liability for any claim arising out of these Terms is limited to the greater of (a) the amount you paid Citadelle in the twelve months preceding the claim, or (b) US $500.
13. Indemnity
You agree to defend and indemnify Citadelle against third-party claims arising from your Customer Content, your use of the service in violation of these Terms, or your breach of confidentiality obligations.
14. Termination
You may stop using the service at any time. We may suspend or terminate access (a) if you breach these Terms, (b) for security or legal reasons, or (c) if continued operation of the service becomes commercially impracticable. On termination, your right to use the service ends. We may delete Customer Content following the retention period described in our Privacy Policy.
15. Governing law and disputes
These Terms are governed by the laws of the United States and of the State of Wyoming, without regard to its conflict-of-laws rules. Any dispute arising under these Terms will be resolved exclusively in the state or federal courts located in Wyoming, USA, except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
16. Changes to these Terms
We may update these Terms from time to time. The “Last updated” date at the top reflects the latest revision. Material changes will be communicated through the iTenders app or by email to active subscribers. Continued use of the service after the effective date constitutes acceptance of the updated Terms.
